How to set up WOFE in Shenzhen

1.      Requirement documents List 资料需要清单

Individual investor 个人投资

a)     Investor ID（Passport） notarized by China Embassy * 2 股东身份证明（需经中国驻外大使馆认证）2份)(If you don’t notarized it, you need to show up with us in WOFE Approval and Business license Step )

b)     Director and supervisor’s passport copy (Mainlanders need original id card ) 董事及监事证明

c)      Bank reference letter*1 (show ending balance more than the capital) 银行资信证明1份

d)     Leasing contract and Leasing Certificate  房屋租赁合同和凭证各1份

e)     Original Passport of Legal Representative 法人代表身份证明原件

f)       Product list（Trading WOFE） 商品目录名单（贸易类型）

g)     Feasibility report (we assist to do) 可行性报告（我司可提供协助）

Company investor 公司投资

a)     Company documents notarized by China Embassy×2. (Including certificate of incorporation, business registration certificate, Chief director authorized, regulation) 公司资料需要驻当地中国大使馆认证 2份

b)     Legal Representative’s passport original 法人代表身份证明原件

c)      Director and supervisor’s passport copy (local people need original id card) 所有董事及监事身份证明

d)     Bank reference letter*1 (show ending balance more than the registration capital) 银行资信证明1份

e)     Leasing contract and Leasing Certificate of房屋租赁合同及凭证1份

f)       Feasibility report (we assist) 可行性报告（我司协助）

g)     Product list（Trading WOFE） 商品目录清单（贸易类）

h)     Audit Report is needed if the company has been registered for  more than one year(如果公司成立一年以上需要提交审计报告)

2.  Procedure

a) Name Check查名

b) Name Approval 名称核准

c) WFOE Approval Certificate批准证书

d) Business License 营业执照

e) Company Seal ，Signature Seal and Financial seal公司刻章

f) Organization Code Certificate 组织机构代码

g) Taxation Certificate 国地税登记

i) Foreign Exchange Certificate 外汇登记证

3.  Fee

   Service fee         RMB15，000   （for a one million RMB capital company ）

   Government fee     Excluding不包括政府费用

   Translation fee      Excluding(all documents need translate to Chinese)

Remark：Special industries need to apply special permit such as： Food circulation Permit， import/Export License，Alcoholic Permit etc which is not included in our quotation

4. Time          40working days  (after all documents prepared) 40个工作日

PS：有限公司每月15日前必须进行税务申报

The limited company shall file tax on 15th of every month.
