Procedures as normal:

1) Buyer send LOI/ICPO, with full banking details, signed andsealed and with permission for soft probe
2) Seller send FCO/Draft Contract to buyer
3) Buyer sign & seal and return to seller
4) Seller issues Final Draft to the buyer
5) Buyer sign & Seal send 1 copy by mail and 4 by DHL to theseller
6) Seller sign & Seal and revert 2 copy by DHL to the buyer
7) Buyer opens a NON OPERATIVE TRANSFERABLE OR AS ABOVENON-TRANSFERABLE LC ¨C SEE PAYMENT INSTRUMENT
8) Seller provides POP & PB2% Bank to Bank to buyer
9) NON OPERATIVE LC becomes OPERATIVE LC
10) Shipment starts according to schedule 30 ¨C 45 days from dateof operative LC
Payment instrument

Payment shall be secured by the Buyer to the seller or his nominee,at the seller¡¯s or his nominee¡¯s sole discretion, by either afully funded Irrevocable; Transferable, Divisible, Assignable,Unencumbered, Standby Letter of Credit (SLC) or unconditional BankGuarantee for 2 months paid upfront for the last two months ofcontract, issued by an A rated Bank, operative for 2 months. ThisSBLC or BG will be transferred by way of MT760 to the sellersnominated bank account. The face value of the SBLC or BG shall beUS$xxxxxxxxxxxx (xxxxxxxxxxxxx US dollars).

Other conditions

1. No samples to be supplied. SGS standard inspection as per ICPOrules and regulations. Reason being that we are unable to tell youthe buyer which mill the cement will be coming from till we haveplaced the order and arranged the al********. Therefore we includethe chemical analysis etc.
2. No POP provided before the LC ¨C non operative is in place

3. No factory visits allowed. The agreements between us and ourassociates are privileged information and protect us in theMarketing Arena.

i. We therefore do not reveal our suppliers.
ii. We do not allow visits to the Mills, even after contracts aresigned, as this will jeopardize our future sales.
iii. Information sent to the Buyers bank is confidential and istreated as such.

4. Port of loading visit is allowed at the buyers own expense.
5. No past performances are allowed same reasons as above ¨C Wehave an NCNDA signed in each contract
6. Min shipment 25 000 MT x 12
7. No spot deals will be entertained
8. Non transferable LC ¨C addition of USD 2 MT to the ratesabove
